1. Acceptance of Terms

Welcome to VibeTraders (the "Platform"), operated by Poiesis Labs BV ("we," "us," or "our"). By accessing or using our Platform, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform.

We reserve the right to modify these Terms at any time. When we make changes, we will update the effective date and notify you through the Platform. Your continued use of the Platform after such changes constitutes your acceptance of the new Terms.

2. Eligibility

You must be at least 18 years of age to use the Platform. By using the Platform, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Platform on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

3. Account Registration

To access certain features of the Platform, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

You may not use another person's account without permission. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Prohibited Content

The Platform is a social investment community. To maintain a safe and respectful environment, you agree NOT to post, share, or transmit any content that:

4.1 Adult & Sexual Content

• Contains pornographic, sexually explicit, or obscene material
• Depicts nudity or sexual acts
• Promotes sexual services or exploitation

4.2 Violence & Harmful Content

• Depicts or promotes violence, gore, or graphic content
• Threatens, harasses, or bullies other users
• Promotes self-harm, suicide, or eating disorders
• Contains content that could cause physical or emotional harm

4.3 Hate & Discrimination

• Promotes hatred or discrimination based on race, ethnicity, nationality, religion, gender, gender identity, sexual orientation, disability, or any other protected characteristic
• Uses slurs, derogatory language, or symbols associated with hate groups
• Incites violence or discrimination against individuals or groups

4.4 Illegal Activities

• Promotes or facilitates illegal activities
• Involves the sale or promotion of illegal drugs or controlled substances
• Facilitates terrorism, money laundering, or other criminal activities
• Violates export control or sanctions laws

4.5 Fraud & Deception

• Contains spam, scams, or misleading content
• Impersonates another person or entity
• Spreads misinformation or disinformation
• Uses deceptive practices to manipulate users

4.6 Financial Misconduct

• Constitutes market manipulation, pump-and-dump schemes, or other securities fraud
• Promotes pyramid schemes, Ponzi schemes, or fraudulent investment opportunities
• Provides unlicensed financial advice as professional advice
• Attempts to manipulate stock prices or trading activity

4.7 Intellectual Property

• Infringes upon copyrights, trademarks, or other intellectual property rights
• Uses content without proper authorization or attribution
• Violates the privacy rights of others

5. User-Generated Content

You retain ownership of content you post on the Platform. However, by posting content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your content in connection with the Platform and our business operations.

You are solely responsible for your content and the consequences of posting it. We do not endorse any user content and expressly disclaim any liability related to user content.

7. Termination

We may suspend or terminate your account and access to the Platform at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to:

• Violation of these Terms
• Conduct that harms other users or the Platform
• Fraudulent, abusive, or illegal activity
• Extended periods of inactivity
• Upon your request

Upon termination, your right to use the Platform will immediately cease. Provisions that by their nature should survive termination shall survive.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, POIESIS LABS BV AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OF THE PLATFORM.

We do not guarantee that the Platform will be uninterrupted, secure, or error-free. We are not responsible for any investment losses or financial decisions made based on content on the Platform.

9. Indemnification

You agree to indemnify, defend, and hold harmless Poiesis Labs BV and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Platform, your content, or your violation of these Terms.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of the Netherlands.

11. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
